Terms of Service

This document is a structured placeholder. Pre-customer launch it will be replaced with a lawyer-reviewed version (Termly template + counsel pass). The substantive commitments below are accurate but the legal-grade language is not yet final.

By using OpenClerk you agree to these terms. They’re a contract between you (or your organization) and OpenClerk. Read them carefully.

The service

OpenClerk reads vendor contracts you upload and returns an analysis. We run on Anthropic (Claude), OpenAI (GPT), Voyage AI (embeddings), Supabase (database + storage), Clerk (auth), Stripe (billing), Resend (email), and Vercel (hosting). The service is provided “as is” — we work hard to keep it correct but humans should review every analysis before acting on it.

Subscription + billing

  • 14-day free trial on signup. No credit card required.
  • After trial: choose Starter ($99/mo), Growth ($499/mo), or Pro ($1,499/mo). Annual saves ~17%.
  • Billing happens via Stripe. Upgrades and downgrades prorate automatically. Cancel anytime from Settings → Billing → your subscription continues until the period you’ve already paid for ends.
  • Refunds: pro-rated for annual plans, none for monthly plans.

Acceptable use

Don’t do these. We’ll terminate accounts that:

  • Upload content you don’t have the right to upload.
  • Reverse-engineer the product or attempt to extract our prompts or training data.
  • Use the service in a way that violates applicable law (export controls, sanctions, financial regulation, etc.).
  • Abuse our infrastructure (DoS, scraping, repeated TOS violations).

Your content + IP

You own everything you upload. We need a limited license to process it for you (extract, analyze, store, surface in search). We do not train any AI model on your content. We do not share your content with other customers.

Confidentiality

Both sides keep the other’s confidential information confidential. Customer content is your confidential information. Our prompts, product internals, and pricing are ours.

Warranties + liability

We disclaim implied warranties to the extent allowed by law. Our aggregate liability for any claim is capped at the fees you paid us in the 12 months before the claim. We are not liable for consequential, incidental, or indirect damages.

Important: OpenClerk surfaces negotiation intelligence — it does not give legal or financial advice. You are responsible for every decision you make based on our output.

Termination

Either side can terminate. On cancellation: your data stays in read-only mode for 90 days, then is anonymized or deleted on request. You can export your analyses as PDFs at any time before then.

Changes

We’ll email you 30 days before any material change to these terms. Continued use after the change date constitutes acceptance.
